Agreement and payment

A scope request is an inquiry, not an order or a commitment from me to provide services.

Before invoicing, I send a Scope Brief covering the deliverables, non-goals, price, timeline, acceptance criteria and key dependencies. The invoice links to these Terms. Cleared payment means you accept both the Scope Brief and the linked version of these Terms. The Scope Brief controls project-specific scope, price, timeline and acceptance criteria; these Terms control everything else.

Launch Sprint and Product Sprint are fixed-price Builds. The first 50% reserves capacity. After it clears, I send a dated Build Start Notice that starts the Build timeline and week-one guarantee. I invoice the final 50% once the Build is complete and accepted under the review process below.

Delivery and handoff

I provide a Completion Notice and staging build for review. You have three business days to send one consolidated written list of material deviations from the agreed scope. I will correct confirmed deviations. The Build is accepted when you approve it, when confirmed deviations are corrected, or when the review period expires without that notice.

New features, changed requirements and subjective preferences outside the agreed scope do not delay acceptance. They may be placed in a later Growth or Product Partner cycle after the original Build is completed.

After the final payment clears, I complete the agreed production activation and transfer the private GitHub repository with its available history, ownership of the custom deliverables and the agreed handoff materials. Until then, staging access is for review only: there is no production activation, source-code access or right to use unfinished deliverables.

If the final invoice is overdue, launch and handoff remain suspended, delivery dates move and I may release the reserved capacity. I may remove staging and delete the unpaid project files 30 calendar days after the due date.

Cancellation and refunds

During the first seven calendar days after the Build Start Notice, you may cancel by email and receive 25% of the full Build price back. I retain the other 25% paid upfront for reserved capacity, setup and work performed. I will initiate the refund through the original payment channel within ten business days.

From the eighth calendar day, the initial 50% payment is non-refundable. If you cancel before completion, I do not issue the final invoice or transfer unfinished deliverables, source code, intellectual property or handoff materials. If I end a Build without a breach on your side, I refund the initial payment in full.

Delays on your side

You are responsible for providing timely content, decisions, access and approvals. If something on your side blocks progress for more than five business days, the timeline pauses and I may release the reserved delivery slot. If the block continues for 30 calendar days, I may close the engagement without refund. Restarting depends on my availability and may require a new scope, timeline or price.

Ongoing services

Product Partner, Care and Growth are prepaid 30-day capacity cycles (each an Ongoing Cycle) with no automatic renewal or rollover. I work on one active request at a time. I commit to a reasonable amount of work within the available capacity and to the specific outcomes agreed in the Scope Brief. The amount of work completed depends on complexity, dependencies, feedback and blockers.

During the first seven calendar days of your first Product Partner cycle, you may cancel and receive a 75% refund. After that window, every Ongoing Retainer Cycle is non-refundable once it starts unless I cannot provide the service.

Launch Sprint includes 30 days of Care and Product Sprint includes 30 days of Growth. The included period begins when the final Build payment clears and has no separate refund value. Later work requires a new paid cycle or scope.

Accounts, third parties and ownership

You create, own and pay for all domain, hosting, infrastructure, database, payment, API and other third-party accounts. You grant me only the access reasonably needed for delivery and should revoke it after handoff. The private GitHub repository for a fixed-price Build (Launch Sprint or Product Sprint) is the only exception and remains under my control until final payment.

You are responsible for all third-party plans, charges, usage, availability, security and other vendor risks. After full payment, you own the custom deliverables created for the engagement.

I retain ownership of my pre-existing and reusable tools, components, methods and know-how. You may use any such elements included in the delivered product as part of that product. Open-source software and third-party materials remain subject to their respective licenses and terms.

Confidentiality

We will each protect the other's non-public business, technical and access information and use it only for the engagement. This does not cover information that is public.

I may share necessary information with providers, advisers and notified subcontractors who need it for delivery and are bound to protect it. I remain responsible for the work of any notified subcontractor I engage.

Suspension and liability

I may suspend work for overdue payment, missing dependencies, security risk, unlawful requests or material breach. Unless immediate action is reasonably necessary, I will give you notice and a reasonable opportunity to fix the issue. If it is not fixed, I may end the engagement without refund.

Neither of us is responsible for delays caused by events reasonably outside our control; deadlines move accordingly. I will perform the agreed services with reasonable professional care, but I do not guarantee revenue, fundraising, traffic, ranking, uptime, market adoption or any other business outcome. Except for the commitments in the Scope Brief and rights that cannot be excluded by law, services and deliverables are provided without additional warranties.

To the fullest extent permitted by law, I am not liable for indirect, incidental, special, punitive or consequential loss, including lost profits or data. My total liability will not exceed the amount you paid for the specific Build or ongoing Retainer cycle giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.
